Board of Supervisors

In accordance with relevant laws and regulations, the Fund’s Board of Supervisors is mandated to oversee the Company’s operations, supervise how the Board of Directors, directors and senior management fulfill their duties, and review the Fund’s financials, in order to protect legitimate rights and interests of the Fund and its shareholders. Independent from the management, the Board of Supervisors consists of 6 members, including 4 supervisors representing the shareholders and 2 supervisors representing the employees.

An Audit Committee has been set up under the Board of Supervisors. Its main responsibility is to guide and supervise the Fund’s internal audit.

    Mr. Lyu Chuanjun is the Chairman of the Board of Supervisors of Silk Road Fund. Previously he worked for various institutions, including the National Development and Reform Commission, the State Information Center, the State Council’s General Office, and the Office of Central Financial and Economic Affairs Commission. Mr. Lyu holds a PhD in Management from Tsinghua University.

Audit Committee-

Silk Road Fund has established an Audit Committee under the Board of Supervisors. Its main duties are as follows: (i) supervise the establishment and improvement of the Fund’s supervision and audit mechanism and organize its implementation; (ii) review the Fund’s annual audit work plan and audit project plan; (iii) review and evaluate the Fund’s internal audit report, and supervise the rectification of major problems found by auditors; (iv) review the results of inspection and evaluation of the Company’s internal control and risk management mechanism, and supervise relevant rectification efforts; (v) supervise and evaluate the work of external auditors; (vi) review the Company’s financial reports and offer its opinion.
